1. The Service
orqAgent lets you create, test, and deploy AI agents — including configuring prompts and tools, adding knowledge, and connecting your agents to channels, integrations, webhooks, and our REST API. We may add, change, or remove features at any time.
2. Eligibility and accounts
You must be at least 16 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials and API keys secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
3. Plans, billing, and credits
- Paid plans and credits are billed through Stripe according to the pricing shown at checkout. Subscriptions renew automatically until cancelled.
- Credits are consumed as you use the Service; usage may be subject to plan limits and daily caps.
- You can cancel a subscription at any time; cancellation takes effect at the end of the current billing period.
- Except where required by law, payments and consumed credits are non-refundable.
- We may change pricing with reasonable notice; changes apply to subsequent billing periods.
4. Acceptable use
You agree not to use the Service to:
- Violate any law or the rights of others, or generate illegal, harmful, hateful, or abusive content.
- Infringe intellectual property or privacy rights, or upload content you do not have the right to use.
- Attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Service or its infrastructure.
- Resell or sublicense the Service except as expressly permitted by your plan (e.g. white-label features).
- Violate the usage policies of the underlying AI model providers or other third-party services.
We may suspend or limit accounts that violate these Terms or that pose a security, legal, or operational risk.
5. Your content
You retain all rights to the content you submit to the Service (your prompts, configurations, documents, and data). You grant us a limited license to host, process, and transmit that content solely to operate and provide the Service to you, including sending it to the AI model providers you select. You are responsible for your content and for ensuring you have the rights necessary to use it.
6. AI-generated output
AI output can be inaccurate, incomplete, or otherwise unsuitable, and may be similar to output generated for others. You are responsible for reviewing and validating output before relying on it, and for ensuring your use of it complies with applicable law. The Service is not a substitute for professional advice.
7. Bring Your Own Key and third-party services
If you supply your own AI provider keys or connect third-party services (such as Slack, Notion, or Google), your use of those services is governed by their respective terms, and you are responsible for any usage, fees, and compliance associated with them. We are not responsible for third-party services.
8. Intellectual property
The Service, including its software, design, and trademarks (such as "orqAgent"), is owned by us and our licensors and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding except as needed to use the Service as intended.
9. Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends; sections that by their nature should survive (such as ownership, disclaimers, and limitation of liability) will survive.
10. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
11. Limitation of liability
To the maximum extent permitted by law, orqAgent will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless orqAgent from any claims, damages, and expenses arising out of your content, your use of the Service, or your breach of these Terms.
13. Changes to the Service and Terms
We may modify these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
14. Governing law and disputes
The Service is provided to users worldwide. Nothing in these Terms removes any mandatory consumer protection rights you have under the laws of your country of residence, which continue to apply.
To the extent permitted by applicable law, you agree to first try to resolve any dispute with us informally by contacting hello@orqagent.com. Any dispute that cannot be resolved informally will be handled on an individual basis, and you and orqAgent waive any right to participate in a class or representative action where permitted by law.
